1 This Agreement

1.1 Acceptance of Terms

This agreement is an electronic contract that sets out the legally binding terms ("Terms") governing your use of the Site and the services available on it (the "Services"). Each time you use the Site or Services, you signify that you agree to be bound by these Terms. If you do not agree, you must immediately discontinue using the Site and Services. The Site and Services are owned and operated by GoProgs Technologies Pvt Ltd (SECP Incorporation No. 0190060) under the URLNOW.ME product. References to "us", "our", or "we" refer to GoProgs Technologies Pvt Ltd and URLNOW.ME.

1.2 Updates to Terms

URLNOW.ME may update these Terms at any time by posting the most current version on the Site. We will indicate the change with a new Effective Date. Your continued use of the Site after we post any changes signifies your agreement to those changes.

1.3 Electronic Form

By accessing the Site or using a Service, you consent to receive these Terms and other notices in electronic form.

2 Services and User Account

2.1 Description

The Services allow you to create shortened URLs, custom-branded links, and use related link management and analytics products. Some Services are free; others require a paid subscription. Anyone using the Services is referred to as a "User".

2.2 Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and not be prohibited by law from using the Services.

2.3 Authorized Users

You may grant access to your account to others ("Authorized Users"); however, you remain responsible for their use of the Services.

2.4 Your Representations and Warranties

By using the Services, you agree to:

• Provide true, accurate, current, and complete information about yourself.
• Keep that information up to date.
• Not access, store, distribute, or transmit any content using the Services that:
  • is unlawful, harmful, threatening, defamatory, obscene, infringing, harassing, or racially or ethnically offensive;
  • promotes or facilitates illegal activity;
  • depicts sexually explicit imagery or promotes violence;
  • discriminates based on race, gender, color, religious belief, sexual orientation, or disability;
  • is otherwise illegal or causes damage or injury to any person or property; or
  • is used to track or distribute spam.
• Not bypass, probe, overload, automate against, or interfere with account protections, limits on repeated activity, access controls, or other safeguards.
• Not use automation, bots, replayed browser actions, or third-party tools to access or modify links, analytics, workspaces, or account data that you are not authorized to manage.

If you provide information that is untrue, inaccurate, or incomplete, or if we reasonably suspect a violation of these Terms or any law, we may suspend or terminate your use of the Service and refuse current or future access. You are solely responsible for ensuring your use (and the use of your Authorized Users) does not violate this Section.

2.5 URLNOW.ME's Rights

URLNOW.ME may reject access to the Services in its sole discretion and may verify a User's eligibility and compliance with these Terms before accepting any subscription. We may block or slow requests, require you to sign in again, invalidate sessions, disable suspicious links, or suspend accounts when we believe platform security or acceptable-use rules are being violated.

3 Organizations and Workspaces

3.1 Creating an Organization

Any User may create an "Organization" (also called a "Workspace") to collaborate with multiple Users on URLNOW.ME. The User who creates an Organization becomes its Owner and is the primary account holder responsible for all activity within it, including activity by other members.

3.2 Roles and Permissions

Members of an Organization have one of three roles:

• Owner — full control, including settings, custom domain, members, billing, deletion, and the ability to transfer ownership.
• Admin — may manage members, settings, and invitations; can view all short links created within the Organization.
• Member — may create short links inside the Organization and view only links they personally created. Members do not see other members' links unless an Owner or Admin grants broader visibility.

Roles may be changed by the Owner at any time. Removing a member does not delete their personal URLNOW.ME account.

3.3 Invitations

Owners and Admins (and, if explicitly enabled in Organization settings, Members) may invite additional Users by email. By sending an invitation, the inviter confirms they have a legitimate basis to share the recipient's email with us for that purpose. Recipients may accept or decline. Pending invitations expire after fourteen (14) days unless cancelled or accepted earlier.

3.4 Content Responsibility

The Organization Owner is jointly and severally liable with the creating Member for any short link created within the Organization. All warranties and prohibitions in Section 2 apply equally to short links created in any Organization.

3.5 Custom Domains

Organizations may register a custom domain (e.g. go.acme.edu) to use as the host of their short links. By registering a custom domain you represent and warrant that:

• You are the rightful owner of the domain or you have the express authorization of its owner to use it with URLNOW.ME;
• You are not registering a domain that infringes another party's trademarks, brand identity, or that could reasonably be confused with another product, institution, or person;
• You will configure DNS in accordance with the instructions provided in the Organization Settings (CNAME and TXT records). Ownership is verified through DNS, and we may re-verify periodically. We may suspend a custom domain at any time if verification lapses or if abuse is reported.

Removing a custom domain does not retroactively change short links already issued under that domain; those links continue to refer to the destination URL stored at the time of creation.

3.6 Deletion of an Organization

An Owner may delete an Organization at any time. Deletion removes the Organization, its members' association with it, and any pending invitations. Short links created within the Organization may be retained for analytics and abuse-prevention purposes, subject to our Privacy Policy.

4 Subscriptions and Billing

4.1 Billing Account

If you select a Service that requires a subscription, URLNOW.ME will charge you for the selected plan using the billing information you provide (your "Billing Account") at the time of enrollment. By enrolling in any URLNOW.ME Service plan, you authorize URLNOW.ME to charge your Billing Account the fees then in effect for the selected plan. We reserve the right to correct any errors and to update your information from third-party sources. All subscription fees and cash-back earnings are in US Dollars and Pakistani Rupees. If we do not receive payment from your provider, you agree to pay all amounts due upon demand.

4.2 Free or Promotional Periods

If a Service plan includes a free trial or introductory rate, it will automatically continue after that period and your Billing Account will be charged the regular plan rates. You accept responsibility for all recurring charges unless and until you cancel. Manage your subscription at subscriptions.

4.3 Cancellation

• Full refund. If you cancel during the first 30 days, or any time during a payment period in which you did not use the Service, you are entitled to a full refund. Just contact us.
• Monthly plans. If you cancel a monthly plan, you keep access until the end of the paid-for period. No further charges will be applied.
• Annual plans. If you cancel an annual plan, you keep access until the end of the paid-for period. A prorated refund (less a cancellation fee) may be available on request.

4.4 Required Information

4.5 Change in Amount Authorized

If the amount charged to your Billing Account varies from your initial offer (other than for sales taxes), URLNOW.ME will provide notice of the new amount and the charge date at least 10 days in advance. Any agreement with your payment provider governs use of your payment method.

5 User Submissions

By submitting content to the Site (for example, a testimonial — "User Content"), you grant URLNOW.ME and its licensees and successors a perpetual, worldwide, royalty-free, and non-exclusive license to reproduce, distribute, modify, edit, display, adapt, create derivative works from, market, and promote the User Content, in any medium now existing or hereafter developed, and to use your name, likeness, and any personal information you submit with the User Content without prior approval or compensation.

6 Proprietary Rights

The Site and all material on it — including text, photographs, video, graphics, music, sounds, messages, comments, ratings, and other materials — is owned by URLNOW.ME or its licensors and is protected by copyright, patents, trademarks, trade secrets, and other proprietary rights. URLNOW.ME owns the copyright in the selection, coordination, arrangement, and enhancement of such content, and the URLNOW.ME logos are trademarks of URLNOW.ME. Other trademarks ("Marks") belong to their respective owners. You may not use any Marks without the written permission of URLNOW.ME or the third party that owns them.

You may not copy, publish, transmit, distribute, perform, sell, create derivative works of, or otherwise exploit any of the content without URLNOW.ME's prior written consent. You may download content for personal, non-commercial use as provided in these Terms, keeping all copyright and proprietary notices intact. You acknowledge that you do not acquire any ownership rights by downloading copyrighted material.

Except for using the Site and Services for personal use, you receive no license or other rights from us — including any intellectual property rights — except as we indicate in these Terms.

7 Links to Third-Party Sites

The Site may contain links to other websites or resources. URLNOW.ME does not control these sites and is not responsible for their availability, content, advertising, products, or services. URLNOW.ME is not liable, directly or indirectly, for any damage or loss caused by your use of, or reliance on, any such third-party content, goods, or services.

8 Indemnity and Release

You are personally responsible for your behavior on the Site and agree to indemnify and hold URLNOW.ME and its affiliates, business partners, officers, directors, employees, and agents harmless from any loss, damage, liability, cost, or expense (including attorneys' fees) we incur arising out of or related to: any products or services purchased by you in connection with the Site or Services; any third-party claim relating to your use of the Services or access to the Site; or any violation by you of these Terms, applicable law, or the rights of any third party. You are solely responsible for your own interactions with others as a result of using the Services, including the short URLs you create and share.

We may suspend or terminate your use of any Service and your access to the Site or Services, in whole or in part, at any time, immediately and without notice if, in URLNOW.ME's sole discretion, you fail to comply with these Terms or any law. Upon termination, you must destroy all materials obtained from the Site and Services. The disclaimers and limitations of liability in these Terms survive termination.

12 Access to Services

Your use of the Service and any subscription is conditioned on your continued adherence to these Terms. Violation may result in immediate termination, at our sole discretion, without notice. Termination cancels all rights of access and may include denial of future access or re-enrollment. URLNOW.ME may change, discontinue, or suspend the Services at any time for any reason.

13 Privacy

Your use of the Site is governed by our Privacy Policy, which is incorporated into these Terms by reference.

14 No Third-Party Beneficiaries

Except as expressly provided in this Agreement, there are no third-party beneficiaries to it.

15 Miscellaneous

URLNOW.ME is a product of GoProgs Technologies Pvt Ltd, SECP Incorporation No. 0190060. For legal notices and compliance-related communication, contact hi@urlnow.me.

These Terms (and the policies incorporated into them) are the entire agreement between you and URLNOW.ME, and supersede any prior or contemporaneous agreements relating to your use of the Site or Services. If any part of these Terms is invalid or unenforceable, the remainder will remain in full force and effect. Our failure to exercise any right is not a waiver of that right; our rights and remedies are cumulative.
